Baker Tilly walks away from EduFocal

JSE listed digital education company EduFocal is once again undergoing a major change.

Baker Tilly Strachan Lafayette which trades as Baker Tilly and has served as EduFocal Limited’s external auditors since 2021, has taken the decision to no longer serve as the Gordon Swaby-led company’s auditors, effective September 23, 2025.

EduFocal is stressing that this decision by Baker Tilly was not due to a disagreement or professional concerns regarding its accounting principles or practices, financial statements, disclosures or audit scope and procedures.

In accordance with Article 189 of the company’s recently adopted Articles of Incorporation, the Board of Directors has approved the appointment of Garcia Campbell & Associates as the company’s auditors. The Articles of Incorporation make clear that the Board of Directors may fill a casual vacancy in the office of auditor until the conclusion of the next Annual General Meeting.

A statement on the matter by EduFocal read: “EduFocal wishes to formally place on record its sincere appreciation for the professional service rendered by Baker Tilly throughout their tenure as auditors.

In the meantime, EduFocal, which trades as (LEARN) audited financial statements for the year ended December 31, 2024, remain outstanding. The original due date was March 2025.

The company has expressed its sincere regret for the prolonged delay and reiterates its steadfast commitment to integrity, prudent governance, and full observance of the Exchange’s continuing listing requirements. Accordingly, EduFocal has formally requested an extension to submit its Audited Financial Statements by October 30, 2025, which was granted.

This revised timeline is intended to provide sufficient time to finalise all matters necessary for the new auditors to complete the audit. The Annual Report will be submitted within 30 days thereafter, in keeping with the reporting requirements of the Jamaica Stock Exchange ( JSE) Junior Market Rules.

On June 2, 2025, the JSE, in keeping with the Junior Market Rule Appendix 2, Part 4 (2) (e) on Audited Annual Financial Statement,s suspended trading the ordinary shares of EduFocal  Limited pending the submission of its 2024 Audited Financial Statements, but the JSE, less than three weeks later, resumed trading in EduFocal’s shares.

Director resigns 

The Board of Directors of EduFocal Limited is advising that Grace Lindo has resigned from the Board of Directors, effective November 15, 2025. Ms Lindo has been a valued member of the Board providing exceptional legal and governance expertise throughout her tenure. Her strategic insights and dedication have contributed significantly to EduFocal’s growth, transformation and commitment to strong corporate governance.

The Board extends its sincere gratitude to Ms Lindo for her outstanding service and unwavering commitment to the EduFocal mission and wishes her continued success in all future endeavours.
