Two new directors appointed as one exited

Jamaica’s premier cigarette marketer, Carreras Limited has announced a number of board changes.
The changes stem from the appointments of two directors, Paul Hanworth and Novar Patrick McDonald, while former Managing Director Michael Bernard has resigned as a director and a member of the Nomination & Compensation, Trustees of the Superannuation Scheme and Audit Committee.
Hanworth was appointed Director and Chairman Designate of the Audit Committee and a member of the Corporate Governance Committee with effect from September 20, 2021. McDonald was appointed Director, Chairman Designate of the Corporate Governance Committee and a member of the Audit Committee and Nomination & Compensation Committee with effect from September 1, 2021.
Bernard resigned as a Director and a member of the Nomination & Compensation, Trustees of the Superannuation Scheme and Audit Committee with effect from September 20, 2021.
Carreras has advised that Bernard’s resignation from the Audit Committee was not related to any disagreement in respect of accounting principles or practices, financial statement disclosure or any other material issue impacting on the Audit Committee or its members’ ability to properly carry out the functions delegated by the Board of Directors.
