New majority shareholder, World of Dolphins Inc proposes four new directors

Jamaican marine attraction company, Dolphin Cove, has seen a marked increase in the valuation of its local properties.

The valuation in respect of Dolphin Cove’s land and buildings in Jamaica, prepared by Property Consultants Limited, increases the carrying value of property, plant and equipment by approximately US$2.576 million with corresponding adjustments to the capital reserve and deferred taxation, as of March 31, 2026.

The net effect of the new valuation, which was recently received by the Board, is to increase the net book value of the company by approximately US$2.533 million as of March 31, 2026. There is no effect on revenue, operating results or cash flows for the period. 

The March quarter financial statements for the period ending June 30, 2026 will reflect this new valuation. Shareholders are also advised that properties in St. Lucia and the Turks and Caicos Islands are to be revalued in the near future.

New directors being onboarded 

In the meantime, Dolphin Cove advises that it has received notification from its current majority shareholder, World of Dolphins Inc. that pursuant to Article 101 of the company’s Articles of Incorporation, World of Dolphins intends to propose four persons for election to the office of director of the company. 

They are Colin Kerr, Darys Estrella, Alberto Bergés González and Sylvain Dominici. World of Dolphins Inc has delivered to the company notice in writing signed by those persons indicating their willingness to be elected. 

The proposal is intended to be raised at the company’s Annual General Meeting scheduled to be held tomorrow July 30, 2026, at 2:30 p.m. at The Courtleigh Hotel & Suites. In order to ensure that shareholders receive appropriate notice of the proposed appointments, the company’s Chairman intends, with the consent of the meeting, to adjourn the Annual General Meeting (AGM) to a date that is at least 14 days, but not more than 29 days, from the date of the AGM.

At the adjourned meeting, the proposed election of the four additional directors will be put to the shareholders for consideration and a vote. Global Attractions, a Saint Lucian company, is set to become the new majority owner of Dolphin Cove, having recently acquired a 79.99% controlling stake from World of Dolphins Inc.
