Supreme Court sets June 18 hearing date for Jamaican Teas virtual AGM petition

The Supreme Court has fixed June 18 as the date for hearing Jamaican Teas petition permission to hold its Annual General Meeting (AGM) virtually.

The company is seeking an order from the court that it can, “call and conduct its annual general meetings and any extraordinary general meeting… in accordance with such manner as may be specified by the court involving live stream or electronic broadcast.”

Jamaica Teas is relying on the affidavit of company director, John Mahfood, in supporting its petition. A similar petition has been filed by Jamaican Teas’ investment subsidiary, QWI Investments and is also to be heard by the court.

As in the case of Jamaican Teas, the affidavit of Mahfood, who is also a director of QWI, is being relied on in its desire to get the high court’s permission to hold its AGM virtually.

Virtual AGM for both companies scheduled for June 20

In the meantime both Jamaican Teas and QWI Investments are scheduled to hold their AGMs virtually on June 20. The petitions also seek permission for voting to take place at the virtual AGM.

Mahfood, both a director of Jamaican Teas and QWI Investments is listed as the claimant in both petitions. The announced curfew orders in March this year resulted in the forced adjournment of the AGMs of both Jamaican Teas and QWI Investments.

Both companies made the announcement ahead of the AGM, which was slated to have taken place on March 30 at The Jamaica Pegasus hotel in New Kingston. The companies advised that the AGM will be adjourned without transacting any business.

The decision to adjourn the AGM was taken by the board of both listed companies. This was done “due to the recently announced orders under the Disaster Risk Management Act, in the management of the COVID-19 pandemic restricting in-person general meetings of companies until 13 April 2021,” stated the board of both companies.
