EduFocal, the Caribbean’s premier EdTech innovator, has made changes to the composition of its Audit Committee in compliance with the updated requirements.

The changes are pursuant to the amendments to the Junior Market Rules of the Jamaica Stock Exchange (JSE), specifically Appendix 1 and Rule 504 2(b).

The revised definition of ‘Audit Committee’ requires that the committee consists of at least three Independent Directors, with the majority being Independent Directors, and at least one member possessing an accounting or financial background.

In light of this, EduFocal is confirming the following members of its Audit Committee:

  • Shauna-Gaye Fuller Clarke – Independent Director
  • Durval Williams – Independent Director (Accounting/Financial Background)
  • Grace Lindo – Independent Director

The Committee is duly constituted in line with the new rule requirements. Williams will serve as Chairman of the Audit Committee.

EduFocal says it remains committed to upholding the highest standards of corporate governance and regulatory compliance.
